This website is operated by Co‑op Farms (the “Association,” “Co‑op Farms,” “we,” “us,” or “our”), an association of multiple Ecuadorian flower farms that coordinates commercial promotion and import management for its member farms (the “Member Farms”) and facilitates B2B communications with prospective and existing business customers.

2. Acceptance of These Terms
By accessing or using this website (the “Site”), you acknowledge that you have read and understood, and you agree to be bound by, these Terms and Conditions (the “Terms”) and our Privacy Policy and Cookie Policy, each of which is incorporated by reference.
If you do not agree, do not use the Site.
3. Definitions
For purposes of these Terms:
(a) “Content” means all text, photos, images, graphics, logos, catalogs, data compilations, audiovisual materials, and other content made available on the Site.
(b) “Services” means the Site’s informational features, including catalogs, product/variety information, media, newsletters, and “contact us” or similar forms.
(c) “Business User” means any person accessing or using the Site on behalf of a business entity.
(d) “You” means the individual user and, where applicable, the business entity you represent.

You represent that:
(a) you are at least 18 years of age (or the age of majority in your jurisdiction); and
(b) if you use the Site on behalf of a business, you have authority to bind that business to these Terms.
5. No Online Sales; No Offer; No Reliance
5.1 Informational Only; No Contracting Online
The Site is provided solely to share information about our Member Farms, available flower varieties (including bulk flowers), and to enable B2B contact. Nothing on the Site constitutes an offer to sell or a binding commitment.
5.2 Quotes, Availability, and Sales Terms
Any pricing, availability, specifications, logistics references, or commercial terms are indicative only and may change without notice. Any sale, shipment, or commercial relationship will be governed exclusively by separate written agreements, confirmations, invoices, purchase orders, Incoterms (if applicable), and/or other contractual documentation exchanged outside of the Site.
6. Marketing Visuals, Color Variation, and AI‑Enhanced Content Disclosure
6.1 Natural Product Variation
Flowers are natural agricultural products. Actual color, size, bloom stage, stem count, and appearance may vary due to seasonality, farm conditions, post‑harvest handling, transportation, and other factors.
6.2 Illustrative Images; Device Differences
Content and images on the Site are for illustrative and marketing purposes. Colors may appear different depending on device settings, lighting, and display calibration.
6.3 AI‑Enhanced / AI‑Generated Visual Content
Some images and/or visual materials displayed on the Site may be edited, enhanced, retouched, or partially created using artificial intelligence (“AI”) tools, solely for marketing and visual communication purposes. Such visual content is not intended to mislead and should not be treated as a guarantee of exact real‑world appearance or shipment outcomes. Final product specifications and acceptance criteria, if any, must be confirmed through written commercial documentation outside of the Site.
7. Intellectual Property; Limited License
7.1 Ownership
All Content is owned by or licensed to Co‑op Farms and/or the Member Farms and is protected by intellectual property laws.
7.2 Limited Permission
We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and view the Site and Content solely for your internal business evaluation and sourcing purposes.
7.3 Restrictions
You must not, and must not allow others to:
(a) reproduce, distribute, publicly display, publish, modify, translate, create derivative works from, or commercially exploit the Content without prior written permission;
(b) remove or alter copyright, trademark, or proprietary notices;
(c) use any Content in a manner that implies sponsorship or endorsement by Co‑op Farms or Member Farms.
7.4 Trademarks
“Co‑op Farms” and associated marks are trademarks of Co‑op Farms and/or its licensors. All other trademarks belong to their respective owners.
8. Acceptable Use and Prohibited Conduct
You agree not to:
(a) violate any applicable law or regulation;
(b) attempt to gain unauthorized access to the Site, servers, or systems;
(c) disrupt or interfere with the Site, including by introducing malware, bots, scraping tools, or denial‑of‑service methods;
(d) scrape, crawl, harvest, or collect Content or data from the Site by automated means without our prior written consent;
(e) misrepresent your identity, affiliation, or business intent.
We may monitor and enforce these Terms and may suspend or block access for violations, at our sole discretion.
9. Business Communications; Confidentiality Notice
9.1 No Confidential Submissions
Do not submit confidential or proprietary information through Site forms or general email addresses unless a separate written non‑disclosure agreement (NDA) is in place.
9.2 Accuracy of Information Provided by You
You agree that all information you submit through the Site (e.g., via a contact form) will be accurate and not misleading.
10. Third‑Party Links and Tools
The Site may contain links to third‑party websites or services (e.g., social media platforms, analytics tools). We do not control such third parties and are not responsible for their content, security, or privacy practices. Your use of third‑party services is at your own risk.
11. Disclaimer of Warranties
THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SITE WILL BE ERROR‑FREE, UNINTERRUPTED, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR CONTENT.
(b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED USD $100 (ONE HUNDRED U.S. DOLLARS), OR THE MINIMUM AMOUNT PERMITTED BY LAW, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations. In that case, liability is limited to the maximum extent allowed.
13. Indemnification
You agree to indemnify, defend, and hold harmless Co‑op Farms, the Member Farms, and their respective officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:
(a) your use of the Site;
(b) your violation of these Terms; or
(c) your infringement or misappropriation of third‑party rights.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of Ecuador, without regard to conflict‑of‑laws rules.
Exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Site will be the competent courts of Quito, Ecuador, unless mandatory law provides otherwise.
15. Changes to These Terms
We may update these Terms at any time. Changes are effective upon posting with an updated “Last Updated” date. Your continued use after changes means you accept the updated Terms.
